Leading offshore legal services provider Appleby, has advised a number of leading banks on two of the largest leveraged buyout deals recorded this year. Appleby acted for Barclays Capital and Goldman Sachs International in both Jersey and Guernsey in connection with the financing of Terra Firma’s £825 million acquisition of the Four Seasons Health Care Group, an independent healthcare provider of nursing homes, care homes and specialist units throughout the UK. Mark Lewis Group Head of Corporate & Commecial in Jersey lead on the deal. Appleby also acted as Jersey counsel for Lloyds TSB Bank PLC in connection with the financing of Cinven’s £950m purchase of (Jersey based) CPA Global, one of the world’s largest patent management groups and outsourcing companies in the world, offering a full range of general legal and intellectual property (IP) support services. James Gaudin and Alastair Drummond lead the transaction from the Jersey perspective. Mark Lewis (pictured) commented, “As the Terra firma deal was a cross jurisdictional deal involving both Jersey and Guernsey, Appleby’s ability to provide a seamless service across both jurisdictions was again important in the smooth handling of this high profile deal. Mark Lewis added, “The CPA acquisition was unusual in that it involved the use of a Jersey scheme of arrangement, to acquire a substantial Jersey business with a physical presence in the Island. We were pleased to be involved in this deal and the transaction is another example of Appleby’s capability to handle high-profile deals.”
